Growth thesis

Sudarshan Chemical is a global pigment manufacturer, the second largest worldwide after its acquisition of Heubach and Clariant's pigment business, with 19 manufacturing sites across 11 countries and more than 4,000 customers. It makes its money selling pigments to coatings, plastics, printing inks and specialty applications such as digital colors for mobile devices. The legacy India business, which contributes roughly 14% EBITDA margin, is being paired with the acquired global group that carries a structurally higher gross margin but a much higher fixed-cost base; in Q4 FY26 the combined business generated reported EBITDA of INR 73 crore, adjusted to INR 118 crore after excluding a PPA credit and inventory overhead release. The competitive niche is concentrated: alongside one major global rival, Sudarshan offers the industry's broadest portfolio of 1,600 products, with over half its manufacturing assets located in Asia versus less than 1% for many global peers. That asset placement and product range underpin the operating model, while the small RIECO engineering business has already turned from a negative EBITDA of INR 17 crore to a positive INR 10 crore in FY26 on revenue of INR 268 crore, up 17.5%.

These economics persist because of barriers that are difficult and slow to replicate. The Clariant/Heubach heritage carries more than 200 years of pigment invention, and customers in coatings and electronics face long qualification cycles; many key accounts stockpiled Heubach inventory during the insolvency and are now returning only after Sudarshan rebuilt supply-chain trust, evidenced by 'Best Supplier of the Year' awards. The manufacturing footprint is a structural cost advantage, with the Frankfurt commodity line already transferred to Roha in India while Frankfurt focuses on specialty products, and the combined entity's scale allows value capture through supplier renegotiation, recipe harmonization and in-sourcing. With only two credible global full-line pigment players, this is not a commodity scale game; it is a niche duopoly where switching costs, product registration and backward-integrated production protect margin recovery. However, the high fixed-cost structure of the acquired group means profitability is cyclical; management's own bridge for Q3 FY26 showed a EUR 116 crore volume/mix drop that overwhelmed cost savings, so the moat protects the franchise but does not immunize it from demand swings.

By then the One SAP integration, promised for end of calendar 2026, and the Global Capability Center, fully operational within six to eight months, should have consolidated four systems and shifted back-office roles, lowering employee cost toward the 12-13% of revenue goal. Legacy Sudarshan is guided to grow 8-10% in FY27 from its roughly 14% margin base, while RIECO continues its turnaround, and net debt, already down from INR 934 crore in December 2025 to INR 755 crore in March 2026, should fall further with the planned EUR 15-20 million inventory reduction and the start of debt repayments in FY27.

Management's track record on this acquisition is mixed, and honesty requires stating it. The original FY26 acquired-group EBITDA guidance of EUR 35 million was cut to EUR 25-30 million in November 2025, and the actual outcome was roughly EUR 16-17 million after inventory write-downs and a weak third quarter; legacy growth also disappointed, coming in flat against a historical 10-11% trajectory. On the June 2026 call, management held the FY27 target of EUR 35 million, reaffirmed the EUR 90-100 million long-term goal, and pointed to Q4 FY26 volume recovery, customer trust rebuilt, and value capture savings of INR 40 crore already realized in Q3. Capital allocation has been disciplined: inventory reduction has exceeded plan, net debt-to-equity is at 0.3x, and the company is starting scheduled debt repayments out of operating cash flow. The professionalization signal is clear, with family members stepping down from the board and management and the GCC being set up, but the critical test is whether FY27 EUR 35 million is delivered rather than re-explained.

The earnings path to mid-2028 is quantified: acquired group EBITDA of EUR 35 million in FY27, then scaling toward EUR 90-100 million as SAP and GCC synergies land, legacy growth of 8-10% at a 14%+ margin, RIECO moving from INR 10 crore EBITDA to more, and reported EBITDA converging with business EBITDA once inventory normalization completes. For this to hold, global pigment demand must not relapse into another destocking cycle, the Middle East situation must not spike energy and logistics costs for an extended period, and US housing and paint demand must recover from its current trouble. The single biggest falsifier is any downward revision to the FY27 EUR 35 million acquired-group target; because fixed costs dominate that business, even a 5-10% volume shortfall can erase the incremental margin. The tension in the data is that guidance has been cut roughly in half before, yet Q4 FY26 beat projections and inventory reduction overshot plan; that suggests the miss was operational and one-time, not structural, but it also means this remains an execution turnaround where each quarter's volume and cash flow, not the long-term target, will prove whether the delta is real.
